Follow the labor law legislation when a company sells their business, the employees are subrogated to the buyer company.

If the employee refuses be transferred, legally this situation is considering a resignation by the employee. So, we don’t have to pay any severance or terminate indemnity to employees.

The company have to pay the severance only in case of definitive closure of the business or company closure but if you transfer the activity you transfer the employees and you don’t have to pay any severance.

PARTE 2 — CORRECCIONES (~55 s)

[warmly] Vamos a ver cinco cosas de ese texto.

La primera, y la mas importante en una reunion: "the employees are subrogated to the buyer". Subrogated es un falso amigo. En ingles se usa en seguros y en deuda, no en derecho laboral. Lo correcto es "the employees transfer automatically to the buyer".

La segunda: "this situation is considering a resignation". Ahi necesitas la voz pasiva. [thoughtfully] "Is considering" significa que la situacion esta considerando algo. Lo que quieres decir es "is treated as a resignation".

La tercera: "definitive closure". Definitivo en ingles es permanent. "Definitive" significa concluyente.

La cuarta: "refuses be transferred". Falta la preposicion. Refuse siempre lleva "to": refuses to transfer.

Y la quinta: "the company have to pay". Company es singular. Pero en registro formal queda mejor evitar el sujeto: "severance is only payable".

PARTE 3 — VERSION CORREGIDA (~40 s)

[thoughtfully] Under Moroccan labour law, when a company sells its business, the employees transfer automatically to the buyer.

If an employee refuses to transfer, that refusal is legally treated as a resignation. In that case, we are not required to pay severance or any termination payment.

[warmly] Severance is only payable if the business closes permanently. If the activity is transferred, the employees transfer with it — and no severance is due.
